The following information provides the requirements for all Emergency Care and Safety Institute (ECSI) Instructors. If you agree to comply with the terms of this Instructor Agreement, indicate your approval by clicking "AGREE" at the end of this document. You will then be prompted to enter personal information to complete the application process.
APPOINTMENT
Appointment as an AAOS Institute Instructor is for a term of two (2) calendar years from date of application. This appointment is provided on a non-exclusive basis and may be renewed for additional two (2) year terms, provided the Instructor has complied with the terms of this Agreement during its appointment period. If the Instructor is unavailable for courses for an extended time(i.e. military duty, illness, etc.) the Instructor can request reinstatement at no cost.
COMPLIANCE
The Instructor agrees to provide training in accordance with the AAOS ECSI Instructor's Resource Manuals for all courses.
The Instructor conducts this training on his or her own behalf, or on the behalf of a supervising Educational Center, and not as an agent of the American Academy of Orthopaedic Surgeons (AAOS), American College of Emergency Physicians (ACEP), or Jones and Bartlett Publishers (J&B), or any other organizations that may partner with the AAOS for purpose of delivering or endorsing ECSI training programs and products.
The Instructor agrees to comply with all applicable governmental rules, regulations, laws or ordinances as they pertain to the delivery, administration, or benefits of the AAOS ECSI Program.
AAOS ECSI representatives may monitor an Instructor's courses and inspect course records at any time to ensure compliance.
COURSE MATERIALS
The Instructor will order all course materials from a local AAOS ECSI Educational Center or through Jones and Bartlett Publishers. The Instructor agrees to use the materials in connection with fulfilling obligations under this Agreement.
COPYRIGHT OF MATERIALS
The Instructor acknowledges that all AAOS ECSI course materials are copyrighted by Jones & Bartlett Publishers. The Instructor obtains no rights to or interest in the ECSI courses or materials by becoming an Instructor. Unauthorized reproduction, sale or use of these copyrighted materials in any form, except as specifically provided in this Agreement or through other written agreement with Jones and Bartlett Publishers, is strictly prohibited. Copyright violation can result in termination of this Agreement, as well as the pursuit of any other remedy provided by law.
TRADEMARK
The Instructor acknowledges that the AAOS, ACEP, and J&B own their respective trade names, marks, and logos. The Instructor acknowledges the validity of these Marks. Instructor agrees that it will not use these Marks or any name, mark or logo confusingly similar.
PROGRAM ADMINISTRATION
The Instructor acknowledges that as an AAOS ECSI Instructor, he or she must teach one (1) course per year, and that the Instructor must maintain records of the completed course and update Instructor status annually through www.ECSInstitute.org or local ECSI Educational Center.
The Instructor must possess a copy of the appropriate Instructor's Resource Manual and participant manual when teaching the various AAOS ECSI courses.
The Instructor acknowledges that he or she will be responsible for issuing AAOS ECSI Course Completion Cards to participants who successfully complete AAOS ECSI courses. AAOS ECSI Course Completion Cards can only be granted by AAOS ECSI Instructors.
An instructor from a national training organization and/or state agency other than AAOS ECSI can assist with classes as necessary, and can be "grandfathered" as an instructor into the AAOS ECSI.
EXCLUSIVITY
There are no provisions for exclusivity in this Agreement, and ECSI Instructors can also be members of other organizations (e.g,, AHA, ARC, NSC, ASHI) for the purpose of offering courses other than ECSI courses desired by a particular client of the Instructor.
INDEMNIFICATION
The Instructor agrees to indemnify, defend, and hold AAOS, ACEP, and J&B harmless from and against all claims, losses, causes of action, liability, damages, and expenses asserted by third parties relating to or arising from any acts or omissions of the Instructor.
TERMINATION AND EXPIRATION
This Agreement may be terminated for the following reasons:
The Instructor fails to comply with or is in default under any provision of this Agreement.
The Instructor or a principal thereof is convicted in a court of competent jurisdiction of a criminal offense.
Termination under this section will become effective fourteen (14) days after receipt by the Instructor of a written notice of termination from AAOS ECSI unless, prior to the Termination Date, the Instructor cures the grounds for termination specified in the notice.
Either party may terminate this Agreement, with or without cause, upon thirty (30) days prior written notice to the other party.
Upon the termination or expiration of the initial Agreement or any renewal term, the Instructor shall:
cease all AAOS ECSI training within fourteen (14) days.
no longer represent to the public that he/she is authorized to instruct AAOS ECSI courses.
cease to use, in any other manner whatsoever, the marks, symbols, and other identifying characteristics of AAOS ECSI.
Electronic Communication
ECSI will communicate to Educational Centers and Instructors through different formats, including regular mail and e-mail. Information provided will include administrative/program operations, new programs, product specials, and discontinued programs/products. The Educational Center and its Instructors agree to accept these communications as a part of standard business practice as members of ECSI.
ACCEPTANCE
Having read and understood the information above, the Instructor wishes to form a contract with the AAOS ECSI through acknowledgement of this Agreement.
The Instructor will also receive a wallet-sized ECSI Instructor's Card within two weeks of acceptance as an Instructor. Instructor Card will be mailed to the Education Center Coordinator.
